2. Scope of These Terms

These Terms and Conditions apply to your use of the Website and to communications initiated through the Website. They do not automatically replace or override any separately signed manufacturing agreement, supply agreement, nondisclosure agreement, sales contract, purchase order, quotation, pro forma invoice, product specification, quality agreement or other written agreement between you and the Company.

If a separate written agreement has been entered into between you and the Company, that agreement will govern the relevant transaction. If there is a conflict between these Terms and Conditions and a transaction-specific written agreement, the transaction-specific written agreement will prevail with respect to that transaction.

The Website is intended primarily to provide information about our company, manufacturing capabilities, products, private-label services, customization options and related business services. Unless expressly stated otherwise, content displayed on the Website does not constitute a binding offer, guaranteed quotation or unconditional commitment to manufacture or supply any product.

  • Prepare quotations, samples, designs or product proposals;
  • Provide requested products or services;

This license does not give Neutro the right to publicly advertise your confidential brand materials or sell them to unrelated third parties. Any broader use of your brand assets, testimonials, project images or finished products for marketing purposes should be subject to your permission or a separate agreement.

You represent and warrant that you own or have obtained all permissions necessary to submit the User Materials and authorize their use for the purposes described above. You must not submit materials that infringe another party’s copyright, trademark, patent, design right, trade secret, privacy right, publicity right or other legal right.

8. Confidential and Sensitive Information

General Website forms and chat windows may not provide the same contractual protection as a signed nondisclosure agreement. You should not submit highly confidential formulas, unpublished inventions, financial account details, government identification numbers, passwords or other highly sensitive information unless appropriate safeguards and confidentiality arrangements have been agreed upon.

If your project involves proprietary formulas, unreleased packaging designs, confidential product strategies or other commercially sensitive information, you may request a separate nondisclosure agreement before providing detailed materials.

9. Product and Service Information

Neutro takes reasonable steps to present product and service information accurately. However, Website content is provided for general informational and promotional purposes. Product photographs, packaging mockups, colors, textures, dimensions, weights, ingredients, functions, technical descriptions, certificates, production capacities, lead times, minimum order quantities and customization options may be illustrative, approximate or subject to change.

Differences may occur because of raw-material variations, formula development, production batches, monitor settings, photographic lighting, packaging availability, regulatory requirements or customer-specific specifications. Website images must not be treated as an exact contractual representation of the final product unless they are expressly incorporated into a signed specification or sales agreement.

We may update, correct, remove or replace Website content at any time without prior notice. The presence of a product or service on the Website does not guarantee that it is currently available, suitable for every market or available in every requested configuration.

10. Inquiries, Quotations and Order Formation

Submitting an inquiry, quotation request, sample request, contact form or chat message does not create a binding sales contract and does not require Neutro to accept your project or supply any product.

Unless otherwise stated in a separate written agreement, a commercial transaction becomes binding only after the relevant product, price, quantity, specifications, payment terms, delivery terms and other material conditions have been confirmed in writing by authorized representatives of both parties. Confirmation may occur through a signed contract, accepted quotation, confirmed purchase order, pro forma invoice or another written commercial document.

Neutro may reject or decline an inquiry or order request where, for example, a requested product is unavailable, commercially impracticable, legally restricted, technically unsuitable, inconsistent with our compliance requirements or based on incomplete or inaccurate information.

11. Custom Manufacturing and Private-Label Projects

Customized, OEM, ODM and private-label projects may require separate confirmation of formulas, samples, ingredients, fragrances, colors, packaging, artwork, labeling, testing, quality standards, minimum quantities, production schedules and regulatory documentation.

Unless otherwise agreed in writing:

  • Samples and prototypes are provided for evaluation and may not be identical to full-scale production batches;
  • Production will be based on the final approved specifications, samples, artwork and commercial documents;
  • Changes requested after approval may affect price, minimum quantity, testing requirements and delivery time;
  • The customer is responsible for reviewing and approving names, trademarks, claims, translations, artwork, barcodes and market-specific label content before production;
  • The customer must ensure that any materials it supplies may lawfully be used; and
  • Regulatory responsibilities will be allocated according to the applicable law and the parties’ written agreement.

Product development, sample approval or successful manufacturing does not guarantee regulatory approval, intellectual property clearance, consumer acceptance, retail placement, sales performance or commercial success in any particular country.

12. Samples

Where Neutro agrees to provide product samples, the sample arrangement may be subject to separate charges, shipping costs, availability, confidentiality obligations and project requirements. Information regarding whether a sample is free, paid, refundable or credited toward a future order will be confirmed separately.

Samples are intended for evaluation and testing. Unless expressly confirmed otherwise, they are not intended for resale, medical use, clinical use or use as a final regulatory reference standard. Customers should conduct appropriate compatibility, stability, performance, packaging and market-specific compliance reviews before placing a bulk order.

13. Pricing, Payment and Taxes

Prices shown or mentioned on the Website, if any, are indicative unless expressly identified as a binding offer. Final pricing may depend on formula, ingredients, packaging, order quantity, artwork, testing, customization, delivery terms, currency, raw-material costs and other project requirements.

Payment terms, accepted currencies, bank details, deposits, balances and payment deadlines will be stated in the applicable quotation, invoice or contract. You are responsible for verifying payment instructions through an authorized communication channel before transferring funds. Neutro will not be responsible for payments sent to unauthorized accounts as a result of phishing, impersonation or failure to verify altered payment instructions, except to the extent the loss was directly caused by Neutro’s legally established fault.

Unless otherwise agreed, quoted prices do not include taxes, customs duties, import charges, destination inspection fees, bank fees or other governmental charges imposed outside China. Responsibility for such costs will be determined by the applicable quotation, delivery term and written agreement.

14. Shipping, Delivery and Risk

Shipping methods, estimated lead times, delivery terms, freight charges, insurance, customs responsibilities and the transfer of risk will be specified in the relevant commercial documents. Any stated production or delivery date is an estimate unless expressly guaranteed in writing.

Delivery may be affected by production requirements, packaging availability, testing, customer approval delays, carrier conditions, customs procedures, governmental measures, port congestion, natural events or other circumstances outside the Company’s reasonable control.

You are responsible for providing complete and accurate shipping, consignee, customs and import information. Additional costs or delays caused by incomplete, inaccurate or late information may be charged to you where permitted by the applicable agreement and law.

15. Cancellations, Returns and Non-Conforming Goods

Custom-manufactured and private-label products are generally produced according to customer-approved specifications and may not be suitable for resale to another customer. Accordingly, cancellation, return, replacement and refund rights for customized orders will be governed by the applicable quotation, purchase order, sales contract or other written transaction document.

If you believe delivered goods do not conform to the agreed specifications, you should notify Neutro promptly and provide reasonable supporting evidence, including order information, batch details, photographs, videos, inspection records or samples where appropriate. The parties will investigate the matter in accordance with the applicable agreement and mandatory law.

Nothing in these Terms and Conditions excludes any non-waivable rights or remedies available under applicable law.

16. Regulatory and Market Compliance

Products, ingredients, packaging, labels and marketing claims may be regulated differently in different countries. Unless a written agreement expressly assigns a responsibility to Neutro, you are responsible for determining whether the products you purchase, import, distribute, advertise or sell comply with the laws and market requirements of the destination country.

You are also responsible for obtaining any importer registration, product notification, local authorization, customs clearance, label translation, responsible-person appointment or other approval required for your activities, except where the Company has expressly agreed in writing to provide a particular service.

Any regulatory, testing, certification or documentation support described on the Website is subject to the product category, destination market, project scope and written confirmation. The display of a certificate, registration or compliance document does not mean that every product, formulation, customer or destination market is covered by that document.

17. Intellectual Property Rights

The Neutro name, Neutro logo, visual identity, Website design and all original text, photographs, product images, graphics, icons, illustrations, videos, layouts, downloadable materials, product descriptions, page structures and other original content created for or published on the Website are the exclusive intellectual property of Shenzhen Neutro Technology Co., Ltd., unless otherwise expressly stated.

Unless otherwise agreed in writing, submitting a concept to Neutro does not require the Company to investigate whether similar products, packaging, ingredients, functions or concepts already exist in the market or are independently being developed by Neutro or another customer.

34. No Waiver

A failure or delay by Neutro to exercise any right or remedy under these Terms does not waive that right or remedy. A waiver will be effective only if it is clearly made in writing by an authorized representative of the Company.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms and Conditions without Neutro’s prior written consent.
